Terms and Conditions

Service Description
Ironroad will provide with the tool to create Premium and Interactive-VMS and also end-users access to such created VMS via a corresponding mobile operator.
Customer is responsible for the quality and content of VMS created by using Ironroad’s API. Maximum length of any type of VMS that can be distributed to end-users is five minutes.

 

Distribution of VMS
Customer is responsible for handling the actual distribution of the Premium- and Interactive-VMS, either through mobile operators directly or indirectly via Ericsson IPX or similar service provider. All issues related to delivery of VMS (and SMS-notification of the same), content of VMS (marketing regulation, spamming, illegal or offensive material, etc), network coverage and service levels shall be governed in Customer’s agreement with the above mentioned parties. Customer is aware and acknowledges that Ironroad processes VMS on an automated basis and therefore cannot be held responsible and Customer indemnify Ironroad and all Operators against all liabilities and alleged claims whatsoever from any third party related to the distribution of VMS.

Support
Support is provided to all customers via e-mail to support@ironroad.com. We aim to respond to e-mails within 24 hours of transmission.
 

Fees
Fees and other charges are set out under pricing. Customers’ transaction data will be compiled and invoiced on a monthly basis with terms of 30 days from the invoice date.

Ironroad withholds the right to refuse or limit the credit extended to customers and may require payment in advance from Customers who do not fulfil our credit requirements

Amendments to Terms and Conditions
Ironroad reserves the right to alter these Terms and Conditions at any time. If the alterations constitute a material change to the Terms of Conditions, Customer will be notified by e-mail. What constitutes a "material change" will be determined at our sole discretion, in good faith and using common sense and reasonable judgment.
 

Cancellation Rights
The Customer has the right to cancel their order within 60 days without giving a reason. The 60 days will start from when the contract is concluded. Where the customer exercises their right to cancel, invoices will be credited and/or monies will be returned within 30 days of cancellation.

 

Intellectual Property Rights
Customer is not entitled to use the Ironroad's name, logo, trademark, patents, database rights or any other intellectual property rights in any way or any context whatsoever without the prior written consent of Ironroad.

Customer shall remain the sole owner to all property rights over the material created and distributed by using Ironroad’s services.

Refusal of service
Ironroad reserves the right to refuse service to anyone for any reason at any time.
 

Limitations of liability
Ironroad shall never be liable for any special, indirect or consequential losses or damages such as but not limited to, lost profits, loss of data, or lost revenues arising from providing the services mentioned above.
